UPSTREAM OIL DIVISION STRUCTURE


ASSET OVERVIEW

Chad (100% held)

The exploration agreement covers two distinct areas as detailed below and was entered into on the 16th of October 2004, and confirmed by Presidential Decree on December 8th, 2004.

The agreement has been granted for a period of five years and is renewable for two further three year periods subject to Energem satisfying the conditions relating the exploration program.

The company has developed a seismic programme together with oil and gas consultants, Zawiyau Associates Limited, led by Dr Mike Hatton. The contract for the carrying out of the seismic programme is in the process of being finalised with Oil Exploration Consultants BGP. The seismic programme is expected to commence in the first quarter of 2008. In order to maximise the value to the company of these assets, the company is in discussions with a number of third parties for the long term joint development of these areas.


Chari West

The Chari West Block covers an area of 8181 km2 in Southern Chad. Located on an established play and production fairway, Chari West can be considered highly prospective and geologically low-risk. Although relatively unexplored, exploration already carried out by previous operators has generated sufficient seismic data to allow an initial evaluation of prospectivity in the block.

Proven petroleum systems, either in production or development exist to the west of the Chari West Block.


Largeau

This block covers an area of approx. 125,741.4 km2 in Central Chad and has previously been the focus of exploration by other upstream exploration companies. ER is in the process of acquiring data from previous licence holders and other sources. Upstream Asset Description is subject to a process of independent assessment and valuation.
